SIMPLE AGREEMENT FOR FUTURE EQUITY (SAFE)

This Simple Agreement for Future Equity ("Agreement") is entered into as of                  , 2026, between:

Company: Kate's Paint LLC, doing business as The First Spark, an Ohio limited liability company ("Company"), represented by Katelin Puzakulics, Founder and CEO.

1. Investment Tier Selection

Investor selects the following investment tier (check one):

2. Investment Amount & Equity

Investor agrees to invest the amount specified above ("Investment Amount") in exchange for a permanent, proportional equity stake in Kate's Paint LLC DBA The First Spark, as indicated. Total raise is $200,000 for 20% equity, valuing the Company at $1,000,000 post-money.

3. Investor Rights

3.1 Profit Distributions. Investor shall receive their proportional percentage of net profits, distributed quarterly within 30 days of each quarter end, once operating costs are covered.

3.2 Exit Participation. Upon sale or acquisition of the Company, Investor receives their proportional percentage of proceeds after debt obligations.

3.3 Reporting. Investor receives quarterly financial summaries via email and annual review documents.

3.4 Consultation Rights (Founding Spark & Architect Spark tiers only). Investor may be consulted on strategic decisions and expenditures exceeding $25,000.

3.5 Information Access. Investor may request review of financial records upon reasonable written notice.

4. Founder Control

Katelin Puzakulics retains 100% operational and management authority. Investor has no management rights, veto power, board seat, or right to direct day-to-day operations. This is a passive equity investment.

5. Buyout Option

The Company may repurchase Investor's equity stake at any time for the greater of: (a) 5× the original Investment Amount, or (b) fair market value of the equity stake as determined by mutual agreement or independent valuation.

6. Representations

Investor represents that they are investing with funds they can afford to risk, understand this is an early-stage investment, and have had opportunity to review available materials and ask questions.

7. Governing Law

This Agreement shall be governed by the laws of the State of Ohio.
